1. Who we are
Portico Webworks is a division of Zarnik Enterprise Services Private Limited (ZES), registered in India. We build and manage websites for hotels and hospitality properties.
“We”, “us”, or “Portico Webworks” means Zarnik Enterprise Services Private Limited. “You” or “client” means the hotel or property engaging our services.
2. What these terms cover
These terms apply when you engage us for a website project, use porticowebworks.com, or communicate with our team.
By signing a project agreement, making a payment, or checking the acceptance box during onboarding or checkout, you confirm you have read and agreed to these terms. If you are agreeing on behalf of a company or property, you confirm you have authority to bind that entity.
3. Our services
We provide end-to-end hotel website development and ongoing management — including site architecture, copywriting, design, WordPress development, SEO setup, speed and image optimisation, and post-launch support.
We do not offer one-time build-and-handoff projects, and we do not take over management of websites built by third parties. All websites we build are maintained and managed by us on an ongoing basis.
Your project agreement defines the exact scope, deliverables, and timeline and takes precedence over these general terms.
4. Third-party plugins, tools, and services
We use a curated stack of third-party plugins and tools covering speed, design, image optimisation, SEO, and security. Some are free; others are commercially licensed.
All paid licences are held by Portico Webworks — not the client. This keeps your costs lower by absorbing licence fees collectively across all projects.
What this means in practice:
- You benefit from premium tools without paying for individual licences
- Your website is built on and dependent on this toolstack
- If you leave Portico Webworks, you receive your WordPress files. However, plugins running under our licences will deactivate or expire, and the site may not function as originally built without replacement solutions
- We will make this dependency clear before your project begins
We are not liable for performance degradation after you leave our management and licensed tools are no longer active.
5. Hosting and domain
Domain: You own your domain and are responsible for registering, renewing, and maintaining it. We require DNS access to point your domain to our hosting environment. We are not liable for domain lapses or loss due to your failure to renew.
Hosting: We manage hosting on your behalf under Portico Webworks accounts. If you leave our service, we will provide your WordPress files and assist with migration to your own hosting, subject to Section 7.
6. Payments
- Prices are quoted in the currency stated in your project proposal
- Payment terms and milestones are defined in your project agreement
- We accept bank transfers and online payments via third-party payment gateways
- Payments via third-party gateways are subject to those providers’ own terms. We do not store card or sensitive payment details on our systems
- Delivery may be paused if payment is overdue by more than 7 days
- All fees are exclusive of applicable taxes unless stated otherwise
7. Cancellation policy
Either party may cancel by written notice.
If you cancel during the build phase: You will be invoiced for work completed to date. Amounts paid beyond that will be refunded within 14 business days. Any balance owed becomes immediately due.
If you cancel an ongoing maintenance agreement: Terms are as per your project agreement. You will receive your WordPress files within 14 business days of final payment clearing. Licenced plugins will deactivate upon exit, as noted in Section 4.
If we cancel: We deliver all completed work, charge only for work done, and refund any overpayment within 14 business days.
All cancellation requests must be submitted in writing to our official contact address.
8. Refund policy
We do not refund completed and delivered work. Refunds apply only in these circumstances:
- Non-delivery: If we cannot complete the agreed website within a reasonable extended timeline — through no fault of the client — a pro-rata refund for undelivered work will be issued
- Cancellation overpayment: Where amounts paid exceed work completed at cancellation, per Section 7
- Unused maintenance period: A pro-rata refund for wholly unused months may be issued at our discretion upon cancellation of an ongoing agreement
Refund requests must be in writing. Approved refunds are processed within 14 business days to the original payment method where possible.
No refunds for:
- Change of mind after work has commenced
- Dissatisfaction with creative direction after approved sign-off
- Delays caused by client unresponsiveness
- Plugin deactivation following exit from our service
9. What you need to provide
You agree to:
- Provide timely feedback and approvals at each project stage
- Supply requested materials — photos, logos, brand assets, booking engine access, domain DNS access
- Designate one decision-making point of contact
- Respond to requests within 3 business days
We are not liable for missed deadlines caused by client-side delays.
10. Ownership and intellectual property
Your content: Materials you provide remain your property.
Website ownership: Once full payment is received, you own the design, copy, and custom code created specifically for your project. You receive WordPress files upon exit.
Plugin licences: Third-party plugin licences are held by Portico Webworks and do not transfer to you. They deactivate upon exit.
Our frameworks: We retain ownership of our internal templates, frameworks, and toolstack. You receive a licence to use them while you are an active client.
Portfolio rights: We may showcase your website in our portfolio and marketing materials unless you request otherwise in writing before project commencement.
11. Client indemnification
You agree to indemnify and hold harmless Zarnik Enterprise Services Private Limited, its directors, employees, and contractors against any claims, damages, losses, or legal expenses — including reasonable legal fees — arising from:
- Materials you provide that infringe third-party intellectual property, copyright, or trademark rights
- Inaccurate, misleading, or unlawful content you supply for your website
- Your breach of any obligation under these terms
This indemnification survives termination of your agreement.
12. Warranty disclaimer
We take quality seriously, but websites operate within an ecosystem — WordPress core, third-party plugins, hosting, and external services — that is outside our direct control and subject to change.
We do not warrant that your website will be entirely error-free or uninterrupted at all times. Where issues arise from updates or third-party changes, we will work to resolve them promptly as part of our ongoing maintenance service.
13. Confidentiality
We keep all information you share — property data, financials, business plans — confidential and will not share it with third parties beyond what is necessary to deliver your project.
We ask the same: our processes, frameworks, pricing documents, and toolstack details are confidential to Portico Webworks and ZES.
14. Data and privacy

15. Limitation of liability
We cannot guarantee specific business outcomes — booking revenue, traffic, or conversion rates.
To the extent permitted by applicable law, our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for:
- Indirect or consequential losses
- Loss of revenue or bookings
- Third-party platform changes — booking engines, payment gateways, OTAs
- Plugin or tool changes made by third-party developers
- Website degradation after exit and deactivation of licensed tools
- Domain loss caused by your failure to renew
- Events covered under Section 16
16. Force majeure
Neither party is liable for failure or delay caused by circumstances beyond their reasonable control — including natural disasters, pandemics, acts of government, nationwide internet or power outages, civil unrest, war, or third-party infrastructure failure.
The affected party must notify the other in writing as soon as reasonably possible. If the event continues beyond 30 days, either party may terminate by written notice, with charges applying only for work completed to date.
17. Termination for conduct
We may terminate immediately if a client engages in abusive, threatening, or bad-faith conduct toward our team. You will be charged for work completed to date with no refund on completed work.
18. Dispute resolution
We prefer to resolve disputes directly. If unresolved, disputes are governed by the laws of India, with jurisdiction in the courts of Kerala.
19. Changes to these terms
We may update these terms periodically. Changes are posted on this page with a revised last-updated date. Continued engagement constitutes acceptance.
